Terms of service

Draft — not yet reviewed by a solicitor. These terms are published in draft for transparency. They must be reviewed by a qualified UK solicitor before Bellwether enters a contract with any customer. This is not legal advice, and it is not a completed contract.

1. The service

Bellwether provides commercial intelligence reports derived from published regulatory information about goods vehicle operator licensing in Great Britain, together with any dashboard, export or alerting features made available to you.

2. What we do and do not promise

We take reasonable care to process source data accurately, and we publish confidence indicators and known limitations alongside our output.

We do not warrant that the underlying published information is complete or accurate: it is produced by third parties, principally the Offices of the Traffic Commissioner and the Driver and Vehicle Standards Agency, and we reproduce and derive from what they publish.

We do not guarantee commercial outcomes. Bellwether identifies operators whose published records indicate fleet growth. Whether that results in a sale depends on your own commercial activity, and nothing in our marketing or reports should be read as a promise of revenue.

3. Your responsibilities when contacting operators

This clause is important and we will enforce it.

You are responsible for ensuring your use of our reports complies with UK data protection law, the Privacy and Electronic Communications Regulations, and any applicable marketing rules. In particular:

We supply intelligence. We do not supply consent, and we cannot give it to you.

4. Acceptable use

You may use our reports within your own organisation for identifying and pursuing commercial opportunities. You may not:

The underlying public records remain public and are not ours to restrict. What is protected is our processed, enriched and scored output, and the database we build from it.

5. Intellectual property

Source information remains the property of its publishers and is used under the Open Government Licence v3.0 where applicable. Our processing, enrichment, scoring, historical database and presentation are ours. Nothing here transfers ownership of either to you.

6. Fees and payment

Fees, billing period and included seats will be set out in your order or pilot agreement. Unless stated otherwise, subscriptions are billed in advance and fees exclude VAT.

7. Pilots

Paid pilots run for the fixed term stated in the pilot agreement, at the stated fee, with no automatic conversion to an ongoing subscription. Either party may decline to continue at the end of a pilot without cause or penalty.

8. Cancellation

You may cancel an ongoing subscription with 30 days' notice before the next renewal date, and access continues to the end of the paid period. We do not use notice periods to trap customers, and we do not require a quarter's notice to leave.

9. Suspension

We may suspend access for non-payment, or for breach of clause 3 or 4, having given you notice and a reasonable opportunity to remedy it where the breach can be remedied.

10. Liability

Nothing limits liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot lawfully be limited.

Subject to that, our total liability arising from the service is limited to the fees you paid in the twelve months before the claim, and we are not liable for lost profits, lost business, or lost opportunity.

11. Data protection

Each party acts as an independent controller for its own processing. Our handling of personal data is described in our privacy notice.

12. Changes

We may update these terms. Material changes affecting an active subscription take effect at your next renewal, and we will tell you before they do.

13. Governing law

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
